Terms of Service

Last updated: October 16, 2026

These Terms of Service govern use of the XBL Logistics website and logistics services requested from or arranged through XBL. Each accepted quote, rate confirmation, order, invoice, statement of work, or written service agreement may contain additional terms. If those terms conflict with these website terms, the service-specific written terms control for that service.

1. XBL’s Role

Depending on the service and written confirmation, XBL may provide logistics coordination, arrange transportation through independent motor carriers or other providers, or coordinate warehousing, fulfillment, and last-mile services. The applicable quote or agreement will identify the commercial scope. Third-party providers remain responsible for the services they perform and may apply their own lawful tariffs, rules, or operating terms.

2. Quotes, Availability, and Service Acceptance

Quotes are based on the information available when issued and may be subject to expiration, capacity, equipment availability, lane conditions, and written assumptions. A request submitted through the website is not a confirmed booking. Service is confirmed only when XBL accepts it in writing or issues the applicable confirmation.

3. Customer and Shipper Responsibilities

You are responsible for providing timely, complete, and accurate information, including commodity, count, weight, dimensions, value, origin, destination, facility restrictions, appointment requirements, and special handling instructions. You must properly package, mark, label, secure, and document freight and ensure that pickup and delivery locations can lawfully and safely accommodate the requested service.

You represent that you are authorized to request the service and provide shipment information. Costs or delays resulting from inaccurate information, changed requirements, restricted access, rejected freight, or failure to comply with these obligations may be charged to you.

4. Hazardous, Regulated, and Prohibited Materials

Hazardous materials, controlled substances, temperature-sensitive goods, high-value freight, and other specially regulated commodities must be fully disclosed before booking and require written acceptance. You may not tender illegal, prohibited, unsafe, contaminated, improperly packaged, or incorrectly declared freight. XBL or a service provider may reject, stop, isolate, return, or otherwise handle freight when reasonably necessary for safety or legal compliance, at the responsible party’s expense.

5. Rates and Additional Charges

Rates apply to the information and assumptions stated in the quote. Additional charges may apply for detention, layover, truck ordered not used, reconsignment, redelivery, storage, lumper or handling services, permits, tolls, limited-access locations, after-hours service, changes in weight or dimensions, fuel adjustments, duties, taxes, and other accessorial or pass-through costs.

6. Pickup, Transit, and Delivery

Pickup, transit, and delivery times are estimates unless XBL expressly agrees otherwise in writing. Weather, traffic, mechanical issues, facility delays, government action, labor disruption, carrier availability, and other events outside reasonable control may affect performance. Delivery receipts, electronic records, photographs, or other customary records may be used as evidence of service.

7. Third-Party Providers

XBL may engage or coordinate independent carriers, warehouses, fulfillment providers, and delivery companies. Unless a written agreement expressly states otherwise, those providers are independent contractors and are not employees or agents of the customer. Service limitations imposed by a provider or applicable law may affect availability and liability.

8. Cargo Loss, Damage, and Claims

Visible loss or damage should be noted on the delivery record and reported promptly with supporting documents. Concealed damage should be reported as soon as discovered. Claim procedures, filing deadlines, defenses, and liability limits may be governed by the performing motor carrier’s terms, the bill of lading, insurance coverage, applicable law, and the written service agreement.

When XBL acts as a broker or coordinator rather than the motor carrier, the cargo claim generally must be filed with the appropriate motor carrier. XBL may assist with communication but does not assume carrier liability unless expressly agreed in writing. Cargo claims do not automatically suspend or offset payment obligations.

9. Insurance

Carrier insurance is subject to policy terms, exclusions, deductibles, and coverage limits and is not a guarantee that every claim will be paid. Additional or declared-value coverage applies only when requested, available, and confirmed in writing before service begins.

10. Payment and Credit

You agree to pay all invoiced charges according to the payment terms stated in the quote, invoice, credit agreement, or other written confirmation. Past-due amounts may be subject to lawful collection costs, interest, suspension of credit, or withholding of future services. Disputed invoice items must be identified promptly with supporting information.

11. Cancellations, Credits, and Refunds

Cancellations, credits, and refunds are subject to the accepted quote, costs already incurred, third-party charges, and our Refund Policy. Transportation and logistics services are time-sensitive and capacity-based; cancellation does not necessarily eliminate charges.

12. Disclaimer and Limitation of Liability

Except for obligations expressly stated in writing, services and website content are provided on an “as available” basis to the fullest extent permitted by law. XBL does not guarantee uninterrupted website access, continuous capacity, or results beyond the confirmed service scope. Liability for transportation, storage, loss, damage, delay, or other claims is subject to the applicable agreement, provider terms, insurance, and law. To the fullest extent permitted by law, XBL will not be liable for indirect, incidental, special, exemplary, or consequential damages.

13. Website Use and Intellectual Property

You may use this website only for lawful business purposes. You may not interfere with website operation, attempt unauthorized access, introduce malicious code, scrape the website in a disruptive manner, or misuse XBL names, logos, content, or materials. Website content is owned by or licensed to XBL and may not be commercially reproduced without written permission.

14. Privacy and Electronic Communications

Our Privacy Policy describes how we handle information. Text messaging is also governed by our SMS Terms. Electronic records and signatures may be used where permitted by law.

15. Governing Terms and Changes

The governing law, venue, dispute process, and any service-specific limitations will be those stated in the applicable written agreement. If no written agreement addresses an issue, applicable law will govern. We may update these website terms prospectively by posting a revised version.
